Possibly infected when seeded, issues with OEM versions, hardware issues, may be stripped of a needed functionality, may be bloated with useless crap, crack may not work, The Man does something about it.
Test in a VM first, have some (temporary) alternative ready.

Um... Honestly, try to find a torrent that has a whole hell of a lot of comments. Almost all of them have to be positive. I wouldn't worry too much about Microsoft to come after you and lock you up either. That hardly ever happens. Especially if you avoid walking around saying, hey guys, I've got a pirated copy of XP! I'm one bad boy aren't I!

You use XP for graphics intensive stuff that do not yet work in Windows 7. (Has Xp/7 dual boot, with RTM DVD on hand ready to install next month).
Windows 7 is better overall for everything else.
